Welcome to PayNow Business ("PayNow", "we", "our", or "us"), a payment collection platform owned and operated by Techleads Consulting Limited.

These Terms of Service ("Terms") govern your access to and use of the PayNow Business mobile application, website, APIs, payment services, and related products and services.

By registering for an account, accessing, or using PayNow Business, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

To use PayNow Business, you must:

• Be at least 18 years of age.
• Have the legal capacity to enter into binding agreements.
• Provide accurate, complete, and current information.
• Comply with all applicable laws and regulations.

We reserve the right to refuse, restrict, suspend, or terminate access to the Service at our discretion.

To access certain features of the Service, you must create an account.

You agree to:

• Provide accurate registration information.
• Maintain the security of your account credentials.
• Keep your information up to date.
• Accept responsibility for all activity occurring under your account.

You must immediately notify us of any suspected unauthorized use of your account.

Users may create and manage business profiles within PayNow Business.

Business profiles may include:

• Business name
• Business category
• Business description
• Business logo
• Business cover image
• Contact information

You are solely responsible for ensuring the accuracy of business information provided through the platform.

PayNow Business provides tools that allow businesses to:

• Create payment links
• Accept one-time payments
• Accept recurring payments
• Receive mobile money payments
• Track transaction activity
• Manage business payment collections
• Withdraw available balances
• Access payment reporting and account management tools

PayNow facilitates payment collection but is not the seller of goods or services offered by merchants using the platform.

PayNow works with third-party providers to facilitate payment processing and related services.

These providers may include:

• MTN Mobile Money
• Airtel Money
• Lenco
• Financial institutions
• Infrastructure providers
• Cloud hosting providers

Your use of payment services may also be subject to the terms and conditions of those providers.

Customer Transaction Fees

Transaction processing fees may be charged to customers when making payments through PayNow Business.

Any applicable fees will be disclosed before a payment is completed.

Merchants do not pay transaction processing fees on successful customer payments unless otherwise communicated by PayNow.

Withdrawal Fees

Merchants may withdraw available balances from their PayNow account.

Withdrawals are subject to a fee of:

4% of the withdrawal amount plus ZMW 1.00 per withdrawal transaction.

Withdrawal fees may be updated from time to time. Any fee changes will be communicated through the platform or website.

Funds received through PayNow Business are generally available for withdrawal immediately after successful payment processing and completion of required verification and security checks.

Settlement and payout times may vary due to:

• Mobile money network availability
• Payment provider processing times
• Regulatory requirements
• Security reviews
• System maintenance

While PayNow aims to provide instant settlement, availability is not guaranteed in all circumstances.

Merchants are responsible for:

• The products and services they sell
• Customer support obligations
• Compliance with applicable laws
• Pricing accuracy
• Refund obligations
• Tax obligations
• Proper use of payment links

Merchants must not misrepresent products, services, pricing, or payment requests.

You may not use PayNow Business for:

• Fraudulent activities
• Money laundering
• Terrorist financing
• Illegal gambling
• Sale of prohibited goods or services
• Identity theft
• Deceptive practices
• Unauthorized financial services
• Activities that violate applicable laws or regulations

We reserve the right to investigate suspicious activity and cooperate with regulatory authorities and law enforcement agencies.

To protect users, payment partners, and the integrity of the platform, PayNow reserves the right to monitor transactions and account activity.

PayNow may temporarily delay, hold, restrict, suspend, or reserve access to funds where we reasonably believe that:

• Fraudulent activity may have occurred
• Unauthorized account access is suspected
• A transaction appears unusual or high risk
• Verification requirements have not been completed
• Regulatory or legal obligations require review
• A dispute, complaint, or investigation is pending
• The Service is being used in violation of these Terms

Funds may remain restricted until the matter has been reviewed and resolved.

Merchants are solely responsible for handling:

• Refund requests
• Product returns
• Customer complaints
• Service disputes
• Delivery disputes

PayNow is not responsible for disputes between merchants and customers regarding products or services sold using the platform.

Where technically possible and approved by the merchant, PayNow may assist in facilitating refunds.

PayNow may request additional information or documentation at any time for:

• Identity verification
• Business verification
• Fraud prevention
• Compliance purposes
• Regulatory requirements

Failure to provide requested information may result in account limitations, suspension, or termination.

Users retain ownership of content uploaded to the platform, including:

• Business logos
• Images
• Descriptions
• Branding materials

By uploading content, you grant PayNow a non-exclusive, royalty-free license to host, display, process, and distribute such content solely for operating and improving the Service.

You are responsible for ensuring uploaded content does not violate any third-party rights.

All intellectual property rights relating to PayNow Business, including software, trademarks, branding, logos, designs, and content, are owned by or licensed to Techleads Consulting Limited.

Users may not:

• Copy
• Modify
• Reverse engineer
• Distribute
• Reproduce
• Sell

any part of the Service without prior written permission.

We strive to provide reliable and uninterrupted services.

However, PayNow does not guarantee continuous availability and may experience interruptions due to:

• Maintenance
• System upgrades
• Network failures
• Security incidents
• Third-party outages
• Events beyond our control

We are not liable for losses resulting from service interruptions.

Your use of the Service is governed by our Privacy Policy. By using PayNow Business, you consent to the collection, processing, and use of information as described in the Privacy Policy.

The Service is provided on an "AS IS" and "AS AVAILABLE" basis.

To the maximum extent permitted by law, PayNow disclaims all warranties, whether express or implied, including warranties of:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Availability
• Reliability

We do not guarantee that the Service will be error-free or uninterrupted.

To the fullest extent permitted by law, Techleads Consulting Limited, its officers, directors, employees, affiliates, partners, and service providers shall not be liable for:

• Indirect damages
• Consequential damages
• Loss of profits
• Loss of revenue
• Loss of business opportunities
• Data loss
• Business interruption

arising from your use of or inability to use the Service.

Our total liability shall not exceed the amount of fees paid by you to PayNow during the six (6) months preceding the event giving rise to the claim.

You agree to indemnify and hold harmless Techleads Consulting Limited and its affiliates from any claims, losses, liabilities, damages, costs, and expenses arising from:

• Your use of the Service
• Violation of these Terms
• Violation of applicable laws
• Infringement of third-party rights
• Disputes with customers or third parties

We may suspend, restrict, or terminate your account if:

• You violate these Terms
• Fraudulent activity is suspected
• Legal or regulatory obligations require action
• Verification requirements are not satisfied
• Security concerns arise

You may stop using the Service at any time.

Users may request account deletion through:

Certain information may be retained where required by law, regulation, fraud prevention requirements, or legitimate business purposes.

We may modify these Terms at any time.

Updated Terms will be published on our website and become effective upon publication unless otherwise stated.

Continued use of the Service constitutes acceptance of the revised Terms.

These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Zambia. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Zambia.
